And its a good question. Theres a lot of anxiety surrounding it, so I think you want to be aware that its true. IPOs were down 85% through the years 2007 and 2008. And now, in 2009, it appears that the well has dried up completely. But dont despair. There are options. Even though the banks have pretty much cut back their lending, and investment bankers are sitting on the sidelines, there will always be entrepreneurs. And in fact, there are more entrepreneurs created in times of economic crisis than usual. I’ll give you a perfect example. Top-level executive loses his job. Highly skilled position. Got some savings. Hes got a great idea, and hes always wanted to be in business for himself. There, youve got an entrepreneur being born. On the other side of the coin, theres always investors. There are professional investors that run just like any other company, and they are in the business of providing capital. Now, the disconnect is occurring in the deal flow. Now that youve got it you may be asking yourself, How do I analyze the proposal and negotiate? The most powerful negotiating tool is other investment proposals. Outside of this there are other valid points for discussion that may lower the price of investment (the amount of stock you give up for a given amount of investment money). They generally center around and investors assumption versus your assumptions. You may want to consider: •The return on investment the investor expects Is this realistic and in line with rate generally accepted in your industry •What is the investors valuation of your company at the time of exit? How does this compare with your valuation? Its safe to assume that your valuation will be higher. But is it higher by a few percentage points or a factor of ten? •What did the investor use as a price to earnings ratio? Did the investor choose the low end in a down market? Does the investor believe that the market will be down at the time of exit? •When did the investor assume the company will be acquired or go public? Are these in lines with your expectations?
